1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of Red Oak Security Services's website and services. By accessing or using our services you agree to these Terms.

2. Services

Red Oak Security Services provides digital services including website development, Shopify setup, API integrations, AWS infrastructure, AI automations, bug fixes, and technical consulting. Specific deliverables, timelines, and pricing are set out in individual proposals, invoices, or statements of work.

3. Quotes, Payments & Invoicing

• Payments are due according to the terms on the invoice or proposal.
• Standard projects typically require a deposit or full prepayment depending on the scope.
• Monthly retainers renew automatically unless cancelled in writing with the notice period specified in the invoice.
• Late payments may incur interest or suspension of services.

4. Refunds & Cancellations

Refunds are provided only where explicitly stated. Once work has commenced on a project (including planning, configuration, or development), services are non-refundable. For retainers, fees cover the period provided and are non-refundable for past periods.

5. Client Responsibilities

Clients must provide timely access, content, approvals, and any credentials required to perform the work. Delays caused by the client may extend timelines and may require additional fees.

6. Intellectual Property

Unless otherwise agreed in writing, upon full payment, Red Oak Security Services transfers to the client ownership of project-specific deliverables (website files, content, and client code). Red Oak Security Services retains ownership of pre-existing tools, libraries, templates, and internal frameworks used across projects.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. Confidential information does not include information that is publicly available or independently developed.

8. Warranties & Disclaimers

Red Oak Security Services provides services using reasonable skill and care. Except as expressly stated, services are provided "as is" and Red Oak Security Services disclaims all other warranties to the fullest extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, Red Oak Security Services's total liability for any claim arising from these Terms will not exceed the amount paid by the client to Red Oak Security Services for the services in question in the 30 days prior to the claim. Red Oak Security Services is not liable for indirect, incidental, or consequential losses.

10. Indemnification

The client agrees to indemnify Red Oak Security Services against claims arising from the client's breach of these Terms, misuse of the services, or violation of third-party rights.

11. Termination

Either party may terminate the engagement in writing. Outstanding fees for work completed prior to termination remain payable.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be resolved in Ontario courts unless otherwise agreed in writing.

13. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes signifies acceptance.
